MAXIMUM 88 CORPORATION CODE OF ETHICS

M88 values each independent distributor's integrity and credibility, honesty, loyalty and allegiance to M88. To maintain a harmonious relationship and to prevent any disrespect or conflict against M88 and its independent distributors, all the independent distributors are strictly enjoined to observe the ethical standards set forth in this Code.

Notwithstanding the penalties imposable under this Code, M88 may take proper actions and/or measures that it may deem necessary and appropriate, including but not limited to, suspension, forfeiture of earnings, monetary fines, obligation to reimburse M88's legal fees, permanent loss of lineage or perpetual deactivation of independent distributorship, and any other available legal recourse against the erring independent distributor. Furthermore, M88, at its own discretion, may determine the appropriate penalty/sanction based on the severity of the violation and damage that resulted or could result from the action/s made. As such, M88 has the right to impose a heavier penalty depending on the gravity of the violation/s committed.

Each independent distributor shall have fifteen (15) days from the date of receiving written notification from M88 of its violation/s to request for an appeal, in cases concerning suspension, monetary sanctions, or termination of independent distributorship. The independent distributor concerned shall submit, together with the request for appeal, any and all additional information or facts that he/she believes should be considered. If the request for appeal is not received within the allotted period of time, the request shall be denied.

Any part of this Code or its entirety may be amended, or its implementation suspended in whole or in part by M88

All the independent distributors shall promptly and properly advise any of the officers of M88 of violation/s or any attempt to violate this Code of Ethics.

ARTICLE 1 - EXCLUSIVITY/LOYALTY

Each independent distributor shall not associate, represent, sponsor, participate, or conspire in any mode or manner to directly or indirectly compete with M88. Further, each independent distributor shall not introduce, present, promote, offer or sell, in any form or manner the products, services and/or marketing programs and/or plans or a combination thereof, whether tangible or intangible, of other companies, partnership, or individual.

Each independent distributor shall always maintain its loyalty to M88 and report any known attempt/s or act/s by other independent distributors that violate this Article.

Violation/s of this Article entitles M88 to impose the following penalties.

PENALTIES

1st OFFENSE: Written Reprimand and one (1) month deactivation of all the offending independent distributor's accounts with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.
2nd OFFENSE: Perpetual deactivation of all the independent distributor's accounts, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind in favor of M88, which accrued at the time of the commission of the violation.

ARTICLE 2 - FULL DISCLOSURE

All independent distributors are strictly enjoined to be honest in all its conducts and dealings involving M88. Each independent distributor shall not make, utter, publish, agitate, or encourage written or oral derogatory or defamatory remarks, utterances or any statement in any form that discredit and disrepute M88, its officers and employees, any of its centers or any of its branches, whether in the domestic or abroad.

Violation/s of this Article entitles M88 to impose the following penalties.

PENALTIES

1st OFFENSE: Written Reprimand and one (1) month deactivation of all the accounts with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.
2nd OFFENSE: Perpetual deactivation of all the accounts, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind in favor of M88, which accrued at the time of the commission of the violation.

ARTICLE 3 - HONEST TRANSACTIONS

Each independent distributor shall not, in any of his/her dealings or transactions involving M88, commit any false statements, such as, but not limited to misrepresentation, exaggeration, sharing of false information, vane promises, introducing spurious products or services, or circumvent any of the marketing plans or programs of M88.

Violation/s of this Article entitles M88 to impose the following penalties.

PENALTIES

1st OFFENSE: Written Reprimand.
2nd OFFENSE: Stern warning with one (1) month deactivation of all the accounts with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.
3rd OFFENSE: Perpetual deactivation of all the accounts, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.

ARTICLE 4 - FRAUDULENT ACTS

Each independent distributor shall maintain honesty and credibility in all his/her deeds involving M88. Each independent distributor is prohibited from committing the following acts, or any other act similar to the list below, against M88 or any of its independent distributors

1. Imitating or counterfeiting any handwriting, or signature;
2. Causing it to appear that an independent distributor has participated in any act or activity when he did not in fact so participate;
3. Alluding or pointing to independent distributors who have participated in an act, activity or statements other than those made by them;
4. Inserting untruthful statements in a narration of facts such as those in the affidavit, deed and other documents similar thereto;
5. Altering true dates;
6. Making any alteration or intercalation in a genuine document which alters or changes its meaning;
7. Issuing in an authenticated form a document purporting to be a copy of an original document when no such original actually exists;

Violation/s of this Article entitles M88 to impose the following penalties.

PENALTY

1st OFFENSE: Perpetual deactivation of all the accounts, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind in favor of M88, which accrued at the time of the commission of the violation.

ARTICLE 5 - RESPECT AND HONOR

Each independent distributor shall observe mutual respect towards fellow independent distributors, officers and employees of M88, by not committing directly or indirectly any inimical or malevolent acts which are not limited to rudeness, retaliation, coercion, bullying, disrespect and discourtesy.

Violation/s of this Article entitles M88 to impose the following penalties.

PENALTIES

1ST OFFENSE: Written Reprimand.
2nd OFFENSE: Stern warning with one (1) month deactivation of all the accounts with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.
3rd OFFENSE: Perpetual deactivation of all the accounts, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind, in favor of M88 which accrued at the time of the commission of the violation.

ARTICLE 6 - TWO (2)-MONTH IMMUNITY

Each independent distributor is strictly enjoined to have a sense of equality and sincerity towards fellow independent distributors by observing the 2- month rule. Under this rule, a sponsor has a 2-month immunity period from presentation of the marketing plan or program of M88 and signing of an application form by the prospective independent distributor, within which fellow independent distributors shall not interfere, recruit, intervene or alienate

said prospective independent distributor at the prejudice of the first independent distributor.

The requirement of signing an application form can be dispensed with if the prospective independent distributor admits that the original sponsor has presented to him the marketing plan or program of M88 or can be supported by other competent evidence.

ARTICLE 6-A. - BAD FAITH AND CIRCUMVENTION OF THE PROVISION

Even after the lapse of the 2-month period, if it can be proved by competent evidence that the sponsor influenced or convinced the prospective independent distributor to wait for the lapse of the 2-month period so that he can recruit him, this provision is violated and the penalty in this Article is applicable.

PENALTIES

1st OFFENSE: As to the independent distributor who interfered, intervened or alienated the prospective independent distributor within the 2-month period at the prejudice of the first independent distributor shall suffer the penalty of one (1) month deactivation of all the accounts with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation. On the other hand, the account of the prospective independent distributor who later became independent distributor shall be placed at the networking group of the first independent distributor/sponsor. The violator shall also pay the expenses for the transfer of the recruited independent distributor to the original sponsor.
2nd OFFENSE: Six (6) months deactivation of all the accounts with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation, without prejudice to criminal prosecution. The violator shall also pay the expenses for the transfer of the recruited independent distributor to the original sponsor.
3rd OFFENSE: Perpetual deactivation of all the accounts, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.

ARTICLE 7 - DETRIMENTAL ACTS

Each independent distributor shall not commit any immoral act or conduct that tends to debase Company policies, goodwill, integrity and transgress decency, morals and good behavior, while within M88 premises, its centers or service branch.

Violation/s of this Article entitles M88 to impose the following penalties.

PENALTIES

1st OFFENSE: Written Reprimand.
2nd OFFENSE: Stern warning with one (1) month deactivation of all the accounts with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.
3rd OFFENSE: Perpetual deactivation of all the accounts, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind, in favor of M88 which accrued at the time of the commission of the violation.

ARTICLE 8 - FALSE AND FRAUDULENT ACTS

Each independent distributor shall not commit any fraudulent act or false pretenses that will prejudice directly or indirectly M88 or fellow independent distributors, such as but not limited to:

1. Using a fictitious name, falsified documents or dummy, or by means of other similar deceits purportedly to obtain personal gain and interest;
2. By altering the quality, fineness or weight of the product or any products pertaining to the business of M88 or imitating any of those products;
3. Any acts done to fellow independent distributor or to M88 which constitute estafa, and other forms of swindling under the Revised Penal Code.

Violation/s of this Article entitles M88 to impose the following penalties.

PENALTIES

1st OFFENSE: Written Reprimand with two (2) months deactivation of all the accounts with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.
2nd OFFENSE: Perpetual deactivation of all the accounts, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind in favor of M88, which accrued at the time of the commission of the violation.
In the imposition of penalties, every fraudulent act is considered as one offense.

ARTICLE 9 - LIMITATION ON NUMBER OF ACCOUNTS

No independent distributor shall exceed 7 accounts per name for basic and/or local account. However, for pro and/or international account, only 1 account is permissible.

Violation/s of this Article entitles M88 to impose the following penalties.

PENALTIES

1st OFFENSE: Written Reprimand with two (2) months deactivation of all the accounts including accounts in question with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.
2nd OFFENSE: Perpetual deactivation of all the accounts including accounts in question, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind in favor of M88, which accrued at the time of the commission of the violation.

Article 10 - NON-REMITTANCE

Incoming independent distributors are required to pay in full the prescribed fee before he/she becomes an independent distributor of M88. Furthermore, the acceptance of reservation fees lesser than the amount prescribed by M88 is strictly prohibited. Non-payment of which entitles M88 to refuse admission of the incoming independent distributor. The sponsor who accepted a reservation fee lesser than the prescribed amount entitles M88 to impose the penalties below against him/her.

PENALTIES

1ST OFFENSE: - Warning with one (1) month deactivation of all the accounts including accounts in question with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.
2ND OFFENSE: Perpetual deactivation of all the accounts including accounts in question, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind in favor of M88, which accrued at the time of the commission of the violation.

ARTICLE 11 - ENTITLEMENTS

Every new independent distributor is entitled to receive the following after payment:

• Activation Code
• Product Package
• Marketing Material.
• I.T. Services/Dashboard
• Lifetime discount on all products

The new independent distributor should encode his access pin within five days. In case the independent distributor requested the sponsor to pay on his behalf, the Sponsor is obligated to:

• Obtain a written authorization from the independent distributor to receive the product package and activation code.
• The sponsor and the incoming independent distributor must submit a copy of one (1) valid identification card.
• Inform the new independent distributor of the existence of the activation code;
• Encode the activation code in the name of the independent distributor within five days from the date of purchase.

Violation of the foregoing is punishable with the following penalties.

1st OFFENSE: Written Reprimand
2nd OFFENSE: Warning with one (1) month deactivation of all the accounts including accounts in question with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.
3rd OFFENSE: Perpetual deactivation of all the accounts, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind in favor of M88, which accrued at the time of the commission of the violation.

ARTICLE 12 - PROHIBITED TRANSACTIONS

The existing Independent Distributors or Sponsors are strictly prohibited to engage in selling activation codes without the product package and marketing materials as discussed in the previous article. They are also prohibited from accepting reservations without full payment of the independent distributorship fee.

Violation/s of this Article entitles M88 to impose the following penalties.

PENALTIES

1ST OFFENSE: - Warning with one (1) month deactivation of all the accounts including accounts in question with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.
2ND OFFENSE: Perpetual deactivation of all the accounts including accounts in question, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind in favor of M88, which accrued at the time of the commission of the violation.

ARTICLE 13 - PROHIBITED RECRUITMENTS

It is prohibited to recruit M88 employees and the latter's relatives within the 4th degree by consanguinity or affinity. Furthermore, incoming independent distributors shall be at least 18 years of age at the time of contract signing unless he/she secures a written consent from his/her parents authorizing the incoming independent contractor to enter into such contract. Incoming independent distributors below 18 years of age will not be admitted to M88 without the latter's parent's written consent.

Violation/s of this Article entitles M88 to impose the following penalties.

PENALTIES

1st OFFENSE: Existing accounts of the employee will be perpetually deactivated with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation. For the sponsor, two months deactivation of all accounts with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.
2nd OFFENSE: For the sponsor, perpetual deactivation of all the accounts, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind, in favor of M88 which accrued at the time of the commission of the violation.

ARTICLE 14- CROSSLINING

All Independent Distributors are strictly prohibited to transfer and encourage the acts of transferring from one group to another. All liners who engage in cross lining shall be reverted to their original sponsor. Violation of the Article is attributed to the person who induced the independent distributor to cross line as well as the independent distributor who actually committed cross lining.

Violation/s of this Article entitles M88 to impose the following penalties.

PENALTIES

1st OFFENSE: Affected account/s shall be recalled and will be placed under one networking group together with all their respective fruits and/or growth. Written Reprimand with one (1) month deactivation of all the accounts with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.
2nd OFFENSE: Perpetual deactivation of all the accounts, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.

* A husband and wife should join and remain in one group.

ARTICLE 15 - PROMOTIONS

All Independent Distributors shall be responsible for their own acts in promoting M88 through online posting and all other social media publications. Independent Distributors must inhibit from using logos, signs or any marks that will tend to destroy the goodwill of M88. Furthermore, independent distributors shall refrain from using M88's trademark or trade name without the Board of Director's written approval.

1st OFFENSE: Written Reprimand with two (2) months deactivation of all the accounts with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.
2nd OFFENSE: Perpetual deactivation of all the accounts, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind in favor of M88, which accrued at the time of the commission of the violation.
In the imposition of penalties, every fraudulent act is considered as one offense.

ARTICLE 16 - UNAUTHORIZED SALES/DISTRIBUTIONS

All Independent Distributors shall not sell, distribute or otherwise dispose of in any manner the products at a price lesser than that prescribed by M88. It is prohibited for the Independent Distributor to sell, distribute or dispose of other products from companies or corporations engaged in the same industry.

1st OFFENSE: Written Reprimand with two (2) months deactivation of all the accounts with forfeiture in favor of M88 of all the benefits, privileges, commissions and other remunerations either monetary or in kind, which accrued at the time of the commission of the violation.
2nd OFFENSE: Perpetual deactivation of all the accounts, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind in favor of M88, which accrued at the time of the commission of the violation.
In the imposition of penalties, every fraudulent act is considered as one offense.

Violation/s of this Article entitles M88 to impose the following penalties.

ARTICLE 17 - CROSS BORDER TRANSACTIONS

Independent Distributors are prohibited from importing or exporting of M88 products to a country with an existing affiliate importer/exporter and/or an exclusive distributor.

2nd OFFENSE: Perpetual deactivation of all the accounts, as well as forfeiture of all benefits, privileges, commissions and other remunerations either monetary or in kind in favor of M88, which accrued at the time of the commission of the violation.
In the imposition of penalties, every fraudulent act is considered as one offense.
